1- Overview of Services

Our team works closely with clients to develop tailored solutions that meet their unique specifications. Every project we undertake is designed with precision and the highest industry standards.

2- Service Limitations

While MECHESOL strives to deliver optimal results, we do not guarantee specific project outcomes. The nature of engineering and product development inherently involves certain variables, and as such, we cannot be held accountable for unforeseen challenges or results outside of our control. Our services are
provided based on the information available at the time of engagement, and we do not assume responsibility for changes in client requirements or external conditions during the course of the project.

3- Fee and Payment Terms

All services rendered by MECHESOL will be invoiced in accordance with the terms specified in the signed contract. Payment terms will be clearly outlined in the agreement, and invoices must be settled promptly to ensure the continuity of services. Late payments may result in project delays or suspension of work. It is the responsibility of the client to ensure timely payment as per the agreed schedule.

4- Client Responsibilities

To ensure successful project execution, clients are required to provide accurate, comprehensive, and timely information. Any failure on the client’s part to deliver necessary details or resources as agreed in the contract may result in project delays or, in some cases, termination. MECHESOL cannot be held liable for any consequences arising from incomplete or inaccurate information provided by the client.

5- Termination of Services

MECHESOL reserves the right to terminate services at any point during the project if the client fails to meet agreed-upon payment terms or if there is a material breach of the Terms and Conditions. In the event of such termination, the client will be liable for payment for work completed up until the point of termination, in addition to any applicable cancellation fees, as stipulated in the contract.

6- Project Modification and Scope Changes

Any modifications to the project scope after the contract has been signed must be discussed and agreed upon in writing by both parties. MECHESOL will evaluate the impact of scope changes and provide a revised timeline and cost estimate if necessary. Any additional work outside of the original scope will incur additional charges, which will be communicated and agreed upon prior to execution.

7- Intellectual Property Rights

The ownership of any designs, documentation, or intellectual property created during the course of the project will be defined in the contract. Typically, MECHESOL retains the right to its intellectual property unless otherwise agreed upon. Upon full payment for services rendered, clients will be granted access to and ownership of the final deliverables, as stipulated in the agreement.

8- Dispute Resolution

In the unlikely event of a dispute, MECHESOL encourages an open dialogue between the client and our team to resolve any issues amicably. Should a resolution not be possible through direct negotiation, both parties agree to pursue alternative dispute resolution methods, including mediation or arbitration, as outlined in the contract.

9- Confidentiality

MECHESOL acknowledges the importance of confidentiality in every project. We are committed to protecting your proprietary information and will not disclose any confidential materials without your consent, except as required by law. Both parties agree to maintain the confidentiality of any sensitive information shared during the course of the project.

10- Limitation of liability

To the fullest extent permitted by law, MECHESOL shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or any delay in the performance of services. Our liability will be limited to the total amount paid by the client for the specific project in question.

11- Governing Law

These Terms and Conditions, as well as any disputes arising from them, shall be governed by and construed in accordance with the laws of the jurisdiction in which MECHESOL is registered. Any legal action must be initiated in the competent courts of the jurisdiction where MECHESOL operates.

12- Amendments to the terms

MECHESOL reserves the right to update or amend these Terms and Conditions at any time. Any changes will be communicated to clients, and the updated version will be made available on our website. By continuing to use our services, clients agree to abide by the revised terms.
